BPV LEGAL ACADEMY 2022
For the first time since COVID-restrictions ended, we could again have our bpv LEGAL academy in Bratislava.
More than 40 participants from the whole alliance discussed on M&A topics, such as specifics of PE/VC investments, M&A related dispute resolution, tax structuring, competition law, FDI control and legal opinions.
The fine warm evening in Bratislava helped us enjoy also a good dinner and bars after a demanding day.
Chambers Europe 2022: we are delighted with the new results!
The latest Chambers Europe 2022 rankings have once again confirmed our expertise in our flagship areas – corporate/M&A, energy, real estate and employment. We are particularly proud of our colleagues who have moved up the rankings in this year’s edition: attorney Lucie Kalašová is now ranked Band 3 and Miroslav Dudek Band 4.
In the corporate/M&A category, managing partner Arthur Braun is again recognized for his broad professional expertise across many areas, including real estate, tech and start-ups.
In the energy law and project finance category, Chambers highlights the fact that bpv offers extensive expertise in renewables and cross-border work – “The lawyers can handle cross-border legal advice perfectly.” Partners Marc Müller, Pavel Vincík and David Vosol are then listed as key contacts.
Real estate law is again dominated this year by Gabriela Špak Porupková as a “very practical, pragmatic and experienced” lawyer and Miroslav Dudek, “a very skilled and experienced lawyer who knows exactly which issues to focus on.”

bpv BRAUN PARTNERS advised J&T REAL ESTATE CZ on the lease of the Red Court building in Prague Karlín to Czechoslovak Group
bpv BRAUN PARTNERS advised J&T REAL ESTATE CZ, a.s. on negotiating the lease of the Red Court office project in Prague – Karlín.
Legal services included preparation and negotiation of lease documentation. The exclusive tenant of the building, which was designed by the renowned CMC architects studio inspired by the atmosphere and history of the site, is the industrial-technology holding Czechoslovak Group (CSG), which will concentrate its Prague employees here.
Legal advice was provided by partner Miroslav Dudek and senior associate Pavlina Tejralová.
The building with 8 above-ground and 3 underground floors offers over 7,000 sqm of space, including a generous roof terrace, a bike room or showers – exactly according to the current trends in Karlin. In addition, it has been certified Leed Gold, the second highest award of the Leed standard, which assesses the environmental impact and sustainability of buildings. J&T Real Estate is a developer dedicated to real estate projects that are interesting and extraordinary in their vision and architecture. They strive to implement solutions with superior utility value for local citizens, tenants and the surrounding environment. The emphasis is on design, materials and execution. All of this has made their projects – which include the Rustonka office complex or the Kampa residence – long-term profitable investments for more than a decade.
bpv BRAUN PARTNERS advised IMMOFINANZ on the sale of the Airport Business Centre in Prague to JET Investment fund
bpv BRAUN PARTNERS provided comprehensive legal advice to IMMOFINANZ on the sale of the Airport Business Centre office building to JET Investment fund. Legal services included support during the due diligence, drafting and negotiation of the transaction documentation and closing of the transaction. The real estate team providing the legal advice to the client consisted of partners Miroslav Dudek and Gabriela Špak Porupková.
The transaction was closed on 21 December 2021. The parties decided not to disclose the value of the transaction. Airport Business Centre is located directly at Vaclav Havel Airport Prague and offers approx. 14,500 sqm of flexible and quality office and retail space.
bpv BRAUN PARTNERS assisted in the sale of Záluží park s.r.o.
bpv BRAUN PARTNERS provided legal advice to the seller on the sale of a 100% share in Záluží park s.r.o. to Elite Domy s.r.o. The company being sold includes a development project for the construction of 26 residential houses in Záluží u Čelákovic in the Central Bohemian region, currently in the phase of a comprehensive project for zoning planning and subsequent building proceedings. In addition to preparing and negotiating the contractual documentation and closing the transaction itself, our team made up of partner Miroslav Dudek and junior associate Pavel Březina was involved in the preparatory project work on the part of the seller over the last three years, including handling the property rights over the affected plots, assisting in preparing the application for the zoning permit and related steps, and preparing and successfully negotiating the cooperation agreement between Záluží park s.r.o. and the city of Čelákovice for the project, setting the basic parameters for the construction project.
Göde Gruppe bought the German Myaminos UG with the assistance of bpv BRAUN PARTNERS
bpv BRAUN PARTNERS assisted its client Göde Gruppe in the acquisition of Myaminos, a German company specialisingin dietary supplements. With this transaction, the Göde Group would like to further expand its business in the health care market. A unique aspect of the transaction is the fact that all companies involved came from the Federal Republic of Germany and the transaction was completely subject to German law. The project included preparing all the transaction documentation and due diligence. The parties decided not to disclose the value of the transaction. Partner Marc Müller took project lead, with support from associate Filip Baloušek and junior associate Kateřina Trzaska. “We have been working with Göde Holding for years, and I am glad that this ‘purely German’ job demonstrates the trust between us. We see it as an honour and joy,” commented Marc Müller, partner at bpv BRAUN PARTNERS.
bpv BRAUN PARTNERS adds German attorney Tomáš Chmelík to its Prague team
As of 1 September, bpv BRAUN PARTNERS welcomed Dr. iur. Tomáš Chmelík, LL.M., a German attorney and established European lawyer in the Czech Republic specializing in German law, intellectual property, IT and e-commerce and data protection (GDPR). “We are delighted that Tomas has decided to return to the Czech Republic after many years in Germany and will assist us with his expertise both in Czech legal advice and in solving problems of Czech companies in Germany. I am delighted that these personnel changes continue to confirm our leading position in German law, which we specialise in on the local Czech market,” said Managing Partner Arthur Braun, welcoming the new colleague. Tomáš graduated from the Albert-Ludwigs-Universität Freiburg Law School (Staatsexamen, Dr. iur.) and the University of Edinburgh (LL.M.) in the UK, where he focused on intellectual property law. Prior to the German bar examinations, he completed internships at leading German law firms and at the Ministry of Foreign Affairs of the Federal Republic of Germany. In addition to the Czech Bar Association, he is also a member of the Munich Bar Association, the German-Czech Lawyers’ Association and the DAAD Alumni Club in the Czech Republic. Prior to joining bpv, Tomáš worked as an attorney at Ernst & Young Law GmbH.
